Please read these terms and conditions carefully before ordering any products from our website. Please understand that by ordering our products, you agree to be bound by these terms and conditions. You should print a copy of these Terms and Conditions for future reference.

Article 1: Notes Before Use

1.1. Overview Welcome to the user agreement for the HÒA THỊNH website. This agreement includes the regulations and terms governing your activities at HÒA THỊNH. Before transacting or registering as a member on the website, you must ensure that you have read and accepted all terms in this Member Agreement and our Privacy Policy. You must read and agree to all provisions in this Agreement before transacting on the website. If you do not agree with any provision, you should not use HÒA THỊNH. Once you have transacted or accessed the site, it signifies that you have fully and voluntarily agreed to all provisions in this Agreement.

1.2. Changes to Content HÒA THỊNH may amend the content of this agreement at any time. Changes to the agreement will be announced on the HÒA THỊNH website before the application time (effective date). If you do not agree with the changed content, you may terminate your access or transactions, or send a written objection to HÒA THỊNH before the effective date. Conversely, if you take no action, it means you agree with the changed content. In the event HÒA THỊNH does not accept your written objection, this cooperation agreement will automatically terminate on the effective date.

Article 2: HÒA THỊNH is a Sales Website in Vietnam

2.1 Transaction HÒA THỊNH is a website providing various types of mechanical products. When the buyer performs a transaction (placing an order via the online ordering tool), it is understood that the buyer has agreed to the price information, product information, and conditions for payment and delivery. The website will automatically confirm the order and send the buyer information about the newly placed order via email. This confirmation serves as proof that the transaction is in process. You are responsible for completing all transactions you participate in, provided they do not violate the law or this agreement.

2.2 How a Contract is Formed When placing an order, you must create a personal account on the website, and you must follow the instructions on the Web page regarding how to place an order and make changes to subsequent orders before submitting them to the Web page. Regardless of any prices you may have seen or heard previously, once you have selected a product and placed an order, you will be informed on the Web page of the costs to be paid, including goods and services tax (VAT) if applicable, and delivery fees. Unless otherwise specified on the Web page, all costs shall be paid in the currency valid in Vietnam.

2.3 Cancellation of Transaction

  • We will automatically cancel the contract if the product is not available for any reason. We will notify you if this occurs and refund any costs you have paid. We will refund the money received from you via the method you used to pay for the order.
  • A transaction may be canceled upon agreement between the seller and the buyer.
  • A transaction may be canceled if the buyer fails to make payment as agreed.
  • Cancellation by the customer (for non-defective Products): If you wish to cancel an order, please contact the Customer Care department at phone number 0937 933 464. You will not incur any order cancellation fees. Once the goods have been dispatched, the order cannot be canceled, and the products must be returned to the company according to the instructions provided by the customer care department (Please call the phone number above or use the return slip included in your package).

2.4 Restricted Subjects for Access & Transactions We do not conduct sales transactions with, and do not encourage access by, members under 18 years of age or individuals lacking legal capacity. We bear no legal responsibility for transactions arising from these subjects.

2.5 Information Management Personal information about customers & members on this website is important information and is always kept confidential. We do not permit the use of customer information for any other purpose.

2.6 Member Management When registering as a member of this website, you must agree that: you always understand and adhere to the website’s rules; you must not post negative comments, use vulgar language, or slander, affecting other brands or violating legal regulations. In some cases, your account may be suspended or deleted if we determine, through investigation and verification, that you have violated [these terms].

2.7 Protection of Intellectual Property Rights Our Intellectual Property Rights policy aims to ensure that products listed for sale on our website do not infringe upon the copyright, trademark, or other legal rights of one or more third parties.

Article 3: Registering to Use the Service

  1. If you wish to place an order on the Web page to purchase one of the products listed, you will need to create an account (an “Account”) on the Web page, which you can access in the “Personal Account” section. To register, you need to provide your full name, postal code, email address, and possibly some other personal information. Please see the Privacy Policy for more details.
  2. Once you have registered with the Web page, you will be required to create a login name and password for your account. You must keep your password confidential and notify us immediately if a third party becomes aware of your password, or if there is unauthorized use of your email address or personal Account, or any other breach of security that you know of. You agree that the individual to whom you disclose your login name and password has full authority to use and/or transact through your account as your representative. Please note that you are fully responsible if you fail to maintain the confidentiality of your password.
  3. You must register with a valid personal email address that you use regularly so that administrative emails can be sent to you. Any account registered with someone else’s email address or a temporary email address will be blocked without notice. We will require you to verify your account upon registration or if we believe you are using an invalid email address.
  4. When you register for an account and whenever you log into your account, you may choose to subscribe or unsubscribe from informational emails (such as newsletters, information about promotions, etc.). You can unsubscribe from these informational emails at any time by logging into your account.
  5. Although we save your purchase information, we cannot disclose this information to you for security reasons. You can access this information by logging into your account. You can track information about orders already purchased or orders recently delivered. You can also manage and save your address, bank account information, or any newsletter you receive.

Article 4: Access and Interference Our website has a control system, and you must acknowledge that you will not use any type of machinery or means to adjust or copy our page content. You must agree that you will not:

  • Use any machinery or software to evade or attempt to interfere with the operation of our site.
  • Take any action aimed at changing or editing information on our entire system. Most information and features on HÒA THỊNH are updated regularly at specific times and are the property of HÒA THỊNH.

Article 5: Violations HÒA THỊNH will immediately issue a warning, temporarily or permanently suspend your member account, or revoke your membership and refuse to provide services to you if:

  • You violate this agreement, the privacy policy, or our related terms or policies.
  • You place fraudulent orders on the website system with disruptive intent.
  • We believe that your actions may violate the law and affect our rights and interests.

Article 6: Legal Compliance You alone, not HÒA THỊNH, are legally responsible for your activities at HÒA THỊNH. You must ensure that you comply with all domestic and international policies, statutes, circulars, rules, and laws related to your purchase, sale, and transactions on our website, as well as on websites we link to.

Article 7: Indemnification You agree to provide compensation for (and hold us harmless from) any inquiries, demands, lawsuits, losses, or damage to products from a third party, arising from your breach of this agreement or related policies and terms, or your violation of the law.

Article 8: Disclaimer Cases beyond our control (Force Majeure Clause)

  1. We shall not be liable for any breach, hindrance, or delay in the performance of a contract due to any cause beyond our reasonable control, including but not limited to natural perils and unavoidable accidents, acts of third parties (including but not limited to hackers, suppliers, governments, quasi-governmental, supranational, or local authorities), insurrection, riot, civil commotion, war, hostilities, warlike operations, national emergencies, terrorism, smuggling, arrest, restraint or detainment by competent authorities, strikes, epidemics, fire, explosion, storm, flood, drought, weather conditions, earthquake, natural disaster, accident, mechanical breakdown, third-party software, interruption or problems with public utility supplies (including electricity, telecommunications, or Internet), or shortage or inability to obtain products, materials, equipment, or transport (“Force Majeure Event”), regardless of whether such circumstances could have been foreseen.
  2. Either you or we may terminate the contract immediately by written notice to the other party when the “Force Majeure Event” lasts for 2 working days or more. In this case, neither party shall be liable to the other upon such termination (other than for the refund of money you have paid but not yet received the product).
  3. If we have contracts to deliver the same or similar products to more than one customer and we are unable to fulfill our obligation to deliver to you due to a Force Majejure Event, we, at our sole discretion, shall decide which contracts to fulfill and to what extent.

Article 10: Adjudication Any litigation or complaint related to this Agreement shall be carefully resolved based on agreement between the relevant parties. In the event the parties do not reach a final agreement, the dispute shall be resolved at Court.
